1. Agreement to Terms
By accessing or using the website umanmedia.comor engaging UmanMedia SRL (“UmanMedia”, “we”, “us”) for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
These terms are governed by the laws of Romania and applicable European Union regulations, including GDPR.
2. Services
UmanMedia provides the following services:
- Web design and development
- Digital advertising (Google Ads, Meta Ads)
- Social media management and content creation
- Search engine optimisation (SEO)
- Google Business Profile management
- AI automation solutions and custom GPT development
The exact scope of services is defined in a separate Service Agreement or Statement of Work signed between UmanMedia and the client.
3. Client Obligations
As a client, you agree to:
- Provide accurate, complete, and timely information required to perform the services.
- Ensure all content, images, and materials you supply do not infringe third-party intellectual property rights.
- Review and approve deliverables within the timelines agreed in your Service Agreement.
- Maintain the confidentiality of any access credentials (logins, API keys) provided.
- Make payments in accordance with the agreed payment schedule.
4. Payment Terms
- Project work: unless otherwise agreed, 50% deposit is due before work commences and the remaining balance is due upon project completion.
- Retainer services: monthly fees are invoiced in advance and due within 14 days of invoice date.
- Late payments: overdue invoices may incur interest at 1.5% per month and may result in suspension of services.
- Refunds: deposits are non-refundable once work has commenced, unless UmanMedia fails to deliver the agreed scope.
5. Intellectual Property
Upon receipt of full payment, UmanMedia transfers ownership of custom deliverables (website files, creative assets) to the client. UmanMedia retains ownership of any proprietary tools, frameworks, templates, or methodologies used in delivering the services.
UmanMedia reserves the right to display completed work in its portfolio unless the client requests confidentiality in writing before project completion.
6. Confidentiality
Both parties agree to keep confidential any proprietary information, business data, or trade secrets disclosed during the engagement. This obligation survives termination of the service relationship for a period of 3 years.
7. Limitation of Liability
To the maximum extent permitted by law, UmanMedia's total liability for any claim arising from our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.
UmanMedia is not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, data loss, or reputational damage.
We do not guarantee specific results for advertising campaigns or SEO services, as outcomes depend on market conditions, platform policies, and other factors outside our control.
8. Termination
Either party may terminate an ongoing service agreement with 30 days' written notice. Upon termination, the client is responsible for all fees accrued up to the termination date. UmanMedia will deliver all completed work and transfer access credentials within 14 days of the termination date.
9. Third-Party Platforms
Our services may involve managing accounts on third-party platforms (Google, Meta, etc.). UmanMedia is not responsible for changes to platform policies, algorithm updates, account suspensions imposed by those platforms, or interruptions to third-party services.
10. Governing Law & Disputes
These Terms are governed by the laws of Romania. Any dispute arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Bucharest, Romania.
11. Changes to Terms
We reserve the right to update these Terms at any time. Changes are effective upon posting to this page. Continued use of our services after changes constitutes acceptance of the updated Terms.
